West End Capital is seeking a qualified transactional attorney to fill the role of General Counsel at an established, yet quickly growing real estate private equity firm, located in the Washington DC area. Initial responsibilities will include overseeing the transactional aspects of our business as well as serve as the firm’s general counsel and legal representative in various legal matters. We are seeking like-minded, self-motivated individuals to join a small, entrepreneurial team and be intimately involved in all facets of the firm’s organization and dealings during a phase of accelerated growth. The responsibilities of the position, summarized below, are expected to continue to expand and evolve as the Company and portfolio continue to grow.

 

As a senior partner, equity interests in our investments will be made available to this individual following an initial trial employment period with the firm. Further details to be discussed.

 

Responsibilities

  • The role is a senior position within the firm, reporting directly to the firm's managing partners on a daily basis.
  • Overseeing all transactional aspects of the business, namely relating to acquisitions, refinances, and dispositions.
  • Specifically, this includes managing PSA or loan document negotiations, coordinating due diligence with required third parties, forming new LLCs/entities when appropriate, and tracking/running point on the various steps involved in any transaction.
  • Responsibilities include reviewing, drafting and directly negotiating various documents including purchase and sale agreements, operating agreements, entity formations, partnership agreements, private placement memoranda and promissory notes.
  • Providing legal assistance to the firm in realms such as securities agreements, construction agreements, service contracts, litigation and all other legal aspects of the business.
  • Working/coordinating with specialized third-party attorneys when appropriate.
  • Reviewing and managing the firm’s organization structure, legal protections and corporate insurance policies to ensure adequate protection.
  • Advising executive members on new laws, existing laws and legal rights that would impact functionality of the business.
  • Overseeing the legal matters of the business as a whole, including acting as the business' legal representative.
  • Maintaining knowledge of the company's legal documents and operations.
  • Taking on projects that are outside of the core competency; learning, studying, and communicating findings to the firm’s partners to inform decision making.
  • Effectively communicating with close knit internal team, property managers, accountants, attorneys, partners, counterparties and affiliates.
  • Always being a proper representative and ambassador of the West End brand.
  • Proactively taking on new assignments and delivering quality work product without errors.
  • Frequent, dependable communication, creativity and positive attitude are essential.
  • Seeking candidate with strong interest in legal transactional work and with aspirations to become head of all legal matters at the firm for the foreseeable future.

 

 

Skills and Qualifications

  • Candidates must be a member of the DC, MD or VA Bar, or immediately eligible to waive-in.
  • Candidates with past business experience to complement legal expertise are preferred.
