General Counsel: Private Equity Real Estate

 

Summary

One of the fastest growing Tri-State private equity real estate firms is seeking a highly sophisticated and experienced General Counsel with an entrepreneurial spirit to spearhead all legal functions and act as a trusted legal adviser to all members of our senior management team. This senior role will lead all day-to-day legal matters pertaining to deal structuring, transactional closings, financing, leasing, land-use, litigation and all strategic negotiations across the firm, including managing our inside and outside counsel assisting with such matters. The General Counsel will serve as an effective guardian of the firm and its principals for all legal related issues while ensuring legal compliance while limiting risk exposure. The ideal candidate must have a critical mindset with strong attention to detail, excellent communication skills and an all-encompassing passion for real estate law.

 

Responsibilities

  • Senior face of the firm and first line of communication and defense for all legal related matters
  • Identify proactive and thoughtful solutions that detect and mitigate risks
  • Provide expert and strategic legal advice to senior management on regulatory, compliance and all real estate matters including corporate law, deal structuring, capital markets, structured finance, securitization, land-use and leasing
  • Draft, examine and negotiate all transactional contracts relating to leasing, dispositions, acquisitions and financing of commercial property along with operating agreements and employment and vendor agreements that minimize risks and protect the interests of the firm and its principals
  • Manage relationships with internal and external parties including outside counsel, business partners and clients
  • Set internal governance policies and manage the impact of external risk factors
  • Form new entities and manage organization's intellectual property
  • Maintain data, knowledge and integrity of the firm’s operations and legal documents
  • Handle statutory filings, such as licensing forms and preserve all corporate records

Experience and Skills

  • Top academic credentials, including a law degree from a top-tier law school with excellent grades
  • Minimum of 7-10 years of experience with a major national law firm, with substantial experience working on real estate private equity matters  
  • Entrepreneurial and hands-on with a strong work ethic, ready to roll-up his or her sleeves and work as an integral member of our team to help us advance the firms endeavors
  • Deep knowledge and experience structuring, negotiating and executing real estate private equity investments, including fund formation, LP investor negotiations, fundraising processes and deployment of capital, including entering into real estate joint ventures with operating and development partners
  • Experience drafting and negotiating operating agreements, leases, construction management agreements, debt financing documents, legal opinions and other real estate business legal documents
  • Experience with entity formation and maintaining organizational records
  • Knowledge of statutes, rules, and regulations pertaining to real estate businesses
  • Experience with corporate governance issues and corporate secretarial duties
  • Understanding of business sensitivities and confidentiality
  • Highest degree of professional ethics, integrity and gravitas
  • Ability to multi-task and work in a challenging fast paced team environment
  • Excellent written and verbal communication skills
  • Report directly to Founder & Managing Principal
